FOOTPASS® is a digital solution aimed at football stakeholders (clubs, players, agents, legal representatives, media, federations, sports organizations, etc.). It allows for the verification of users' identities via a PassID and authenticates their roles, defines communication permissions, and manages structured connections between the various parties. These general terms and conditions of use and service (" CGUS ") aim to define the terms and rules for using the site, the application, and the services provided by FOOTPASS® as well as the obligations of the different parties involved.


Using the site and associated services implies full and unconditional acceptance of these CGUS. They can be modified at any time ; users are encouraged to consult them regularly. In the event of a modification, the new version of the CGUS will be posted online and announced via the usual channels (site, application, email). Continued use of the service after publication constitutes acceptance of the new terms.



1. Legal Notices




1.1 Publisher of the Site



The site FOOTPASS® and the associated services are published by FootPass SA, a Swiss law company currently being established. Its characteristics (share capital, registration number with the commercial register, full address) will be specified once the formalities are completed. The provisional registered office is located at [to be completed], CH‑8000 Zurich, Switzerland. The operation of the service may, if necessary, be entrusted later to an affiliated company or a subsidiary, after informing users.

1.2 Hosting

2. Definitions



In these CGUS, the following terms have the meanings ascribed to them below :


  • Site : all of the content accessible at the address https://www.footpass.app allowing users to access the service, including the web interface and mobile version.

  • Application : the FOOTPASS® mobile application, available on the App Store and Google Play, allowing access to the service.

  • Service : all of the functionalities provided by FOOTPASS®, including notably registration, creation of a verified PassID, management of connections and permissions, access to messaging and storage spaces, and administration of Structural Passes.

  • User : any natural or legal person holding a FOOTPASS® account, whether an individual (player, parent, agent, journalist…) or an organization (club, federation, agency, media, academy, etc.).

  • PassID : verified digital identity issued by FOOTPASS® that certifies a user's identity and role in football.

  • Connection : permission to communicate or act granted by one user to another within a defined perimeter (e.g. : a player authorizes an agent to represent them to a club).

  • Structure : organization (club, federation, league, agency, academy, media…) registered on FOOTPASS® via a Structural Pass.

  • Structural Pass : subscription taken out by a structure allowing it to create an organizational space to manage its members' accounts and handle roles and permissions.

  • Personal Data : data as defined by the GDPR that identifies or enables identifying a natural person directly or indirectly.




3. Purpose of the CGUS



These CGUS define the conditions under which FootPass provides its services and under which the user uses them. They specify the respective rights and obligations of FootPass and the users in the context of the use of the site, the application, and the service.


The service aims to provide a secure and regulated platform for exchanges and transactions between football players ; it allows each user to :


  • create a verified digital identity (PassID) ;

  • define and manage connections and permissions according to their role ;

  • exchange messages and documents in an authenticated manner ;

  • store and share documents in a secure vault ;

  • use specific services based on the chosen subscription.




4. Access to the Service




4.1 Eligibility Conditions



Access to the service is reserved for legal adults who have legal capacity and legal entities represented by an authorized person. Minors may use the service under the responsibility of their legal representative, who must create and manage their PassID. Access to features reserved for structures is conditioned upon subscribing to a Structural Pass.



4.2 Registration Procedure



To use the service, users must create an account via the site or application, provide accurate and complete information, and validate their PassID according to the current identity verification procedure (selfie, passport or ID scan, and verification of the role). Users commit to keeping their information up to date. FootPass reserves the right to refuse or suspend an account if the information provided is inaccurate, incomplete, or fraudulent.



4.3 Identifiers and Security



Users are responsible for maintaining the confidentiality of their identifiers (password, access codes, PassID) and all activities carried out through their account. They agree to inform FootPass immediately in case of unauthorized use of their identifiers. FootPass disclaims all liability in case of fraudulent use of the account due to user negligence.



5. Description of Services



The services offered on FootPass are described as accurately as possible, but remain subject to change ; the information provided is indicative and not exhaustive.



5.1 Messaging and Rooms



FootPass offers a messaging system and discussion spaces (" Rooms ") allowing for bilateral or group exchanges. Each exchange indicates the identity, role and, where applicable, structure of each participant. Users can create Rooms, invite participants, limit or revoke access, and set specific permissions. Exchanges must remain professional and comply with applicable regulations (see article 9).



5.2 Connections and Permissions



A user can create a connection and grant permissions to another user to represent or act on their behalf within a predefined perimeter. Each permission is formalized and traceable (dates, perimeter, durations). The user can revoke a connection or permission at any time from their personal space ; the revocation takes effect immediately and results in the deletion of associated accesses.



5.3 Vaults and Document Management



FootPass provides secure vaults for storing contractual, medical, legal, or performance documents. Documents are encrypted and accessible only to individuals expressly authorized by the vault holder. No document may be transferred or shared without permission. The documents are private archives and do not hold FootPass liable except in the event of proven security failure.



5.4 Structural Pass and Governance of Structures



Structures (clubs, federations, agencies, media, academies…) subscribe to a Structural Pass to access an organizational dashboard. They can invite their members, assign roles, and manage access rights based on responsibilities. The structure is responsible for the actions taken by its members via its Structural Pass.



5.5 Other Services and Developments



FootPass may offer additional services and functionalities according to the subscriptions taken out. These services may evolve, be enriched or removed without notice. Their use is subject to these CGUS and, where applicable, to specific conditions.



6. Commitments and Responsibilities of the User




6.1 Behavior and Obligations



The user agrees to :


  • use the service in good faith and only for lawful purposes ;

  • provide accurate, sincere, and updated information when registering and using the service ;

  • respect the confidentiality of exchanges and documents transmitted via FootPass ;

  • not impersonate a third party, not falsify one's role or permissions, and not use the service to disseminate misleading or illegal information ;

  • not infringe upon the intellectual property rights of FootPass or third parties (see article 10) ;

  • not disseminate illegal, racist, defamatory, insulting, pornographic content or content contrary to public order ;

  • not attempt to disrupt the service, particularly by introducing viruses or cyberattacks.



FootPass reserves the right to delete any content or exclude any user in case of non-compliance with these obligations, and to pursue civil and criminal action against the author of serious breaches.



6.2 User Responsibility



The user is solely responsible for the decisions and acts performed through the service. FootPass does not intervene in negotiations or contracts made between users and is not a party to the agreements. The user agrees to indemnify FootPass against any consequences arising from non-compliant use of the service.



7. Responsibility of FootPass




7.1 Service Availability



FootPass strives to maintain permanent access to the service. However, access may be temporarily suspended for maintenance, updates, or security reasons, without notice. The service may also be interrupted in case of force majeure, computer attacks, or Internet network malfunctions. FootPass cannot be held responsible for interruptions or malfunctions arising from the host, network, or user's equipment.



7.2 Accuracy of Information



FootPass strives to provide information as accurately as possible on the site and application. However, it cannot be held responsible for omissions, inaccuracies, or shortcomings in updates, whether they are due to its own actions or those of third parties. The information available on the service is provided for indications and may change.



7.3 Limitations of Liability



FootPass cannot be held responsible for direct or indirect damages caused to the user’s equipment when accessing the service (e.g. : outages, bugs, incompatibilities). Likewise, the company cannot be held responsible for financial losses, data losses, or intangible damages resulting from the use of the service. The interactive spaces made available to users may be moderated ; FootPass reserves the right to delete without notice any content contrary to the law or public morals and to engage the civil and/or criminal liability of the author.



8. Protection of Personal Data



FootPass collects and processes personal data in accordance with the Swiss Federal Data Protection Act (LPD) and, for persons concerned located in the European Union, the General Data Protection Regulation (GDPR). The categories of collected data, the purposes, and the retention periods are specified in the Privacy Policy. Users have the rights of access, rectification, deletion, limitation and opposition, as well as the right to withdraw their consent at any time. Persons concerned based in the EU additionally benefit from the right to portability and the right to set post-mortem directives. Users can exercise these rights with the DPO via the address mentioned in article 1.3. Data is only transmitted to third parties necessary for the provision of the service and is not transferred out of Switzerland or the European Union without appropriate guarantees.



9. Cookies and Similar Technologies



The site and application may use cookies or similar technologies to improve navigation, measure audience and provide functionalities. An information banner allows you to set preferences and obtain details. Refusing certain cookies may degrade the user experience but does not prevent access to the service.



10. Intellectual Property



FootPass is the owner or holder of intellectual property rights and holds usage rights on all elements accessible on the service, including texts, images, videos, logos, icons, graphics, and sounds. Any reproduction, representation, modification, publication, or adaptation of all or part of the service, by any means or process, is prohibited without prior written authorization. Any unauthorized usage of the service or any of its elements will be considered an infringement and prosecuted according to articles L.335-2 and following of the Intellectual Property Code.



11. Duration, Suspension, and Termination



These CGUS are concluded for an indefinite duration from the acceptance by the user and apply throughout the duration of use of the service. The user can terminate their account at any time via their personal space. FootPass reserves the right to suspend or terminate an account in case of violation of these CGUS or for security reasons. In case of termination, all connections and permissions are revoked and access to documents is removed, subject to legal retention obligations.



12. Force Majeure



FootPass cannot be held responsible for any delay or failure to perform its obligations under these CGUS resulting from the occurrence of an unforeseeable, irresistible and external event (e.g. : natural disasters, strikes, war, attacks, Internet network failure, governmental restrictions).



13. Evidence Agreement



The computerized records kept in FootPass’s systems are considered proof of the communications, registrations, acceptances, and transactions occurring between the parties, unless proven otherwise. The user accepts that electronic exchanges (emails, notifications, logs) have value as evidence.



14. Assignment and Subcontracting



FootPass reserves the right to assign all or part of its rights and obligations under these CGUS to a third party in the context of a restructuring or business transfer. The company may also engage subcontractors to perform the service, in compliance with the GDPR.



15. Applicable Law and Disputes



These CGUS are governed by Swiss law. In case of dispute regarding their interpretation, execution, or validity, and in the absence of an amicable agreement, the competent courts of the seat of FootPass SA (Zurich) will have exclusive jurisdiction. If you are a consumer based in the European Union, this clause does not deprive you of the imperative protections provided by the law of your country of residence. You may also access a mediation service or the relevant consumer protection authority free of charge.
